OZ/01 /00 <br />Section 24. <br />PAYMENT AND PATIENT FEES <br />CONTRACTOR agrees that it will not, without prior approval of COUNTY, bill patients for se-vices <br />provided under this Agreement. <br />Section 25. <br />25.1 Attomev's Fees <br />MISCELLANEOUS PROVISIONS <br />In any claim, suit or proceeding brought or instituted by either of the parties to enforce any of the <br />provisions of this Agreement or to seek damages, the prevailing party shall be entitled to recover <br />reasonable attorney's fees, costs, and nei;essary disbursements. <br />25.2 Notice <br />All notices required hereunder will be in writing and-served personally or by mail; <br />CONTRACTOR: City of San Leandro <br />835 E. 14`h Street <br />San Leandro, CA 94577 <br />COUNTY: Alameda County EMS District <br />1000 Broadway, Ste. 5024 <br />Oakland, CA 94607 <br />25.3 Entire Aoreement <br />This Agreement constitutes the entire agreement between the CONTRACTOR and the COUNTY <br />and there are no agreements, understandings, warranties, or representations between the parties <br />except as provided herein. <br />25.4 Binding Effect <br />This Agreement will inure to the benefd of and bind the respective parties, their successors, <br />personal representatives and permitted assigns. <br />25.5 Headings <br />The headings in this Agreement are inserted for convenience of reference only and are not to be <br />used in construing or interpreting any provisions of this Agreement. <br />25.6 Counteroarts <br />This Agreement may be executed in any number of counterparts, all of which shall constitute the <br />Agreement between the parties. <br />25.7 Invalid' <br />If any term, provision, covenant or condition of this Agreement, or any application thereof, should <br />be held by a court of competent jurisdiction to be invalid, void, or unenforceable, all terms, <br />
