6.4 Compliance with Law. <br /> Each Party shall, at its sole cost and expense, promptly comply with all <br /> Governmental Rules now in force or which may hereafter be in force, relating to or affecting the <br /> ownership, operation, maintenance and repair of the Components, or in the performance of their <br /> respective obligations under this Agreement. <br /> 6.5 Force Majeure. <br /> In the event a Party's performance or the purpose of this Agreement is frustrated <br /> as a result of a Force Majeure Event, such Party shall not be liable under this Agreement unless, <br /> and only to the extent it has committed a material breach of its obligations under this Agreement. <br /> 6.6 Further Assurances; Further Cooperation. <br /> Subject to the terms and conditions hereof, each Party shall use its reasonable <br /> Best Efforts to execute and deliver, or cause to be executed and delivered, all documents and to <br /> • <br /> take, or cause to be taken, all actions that may be reasonably necessary or appropriate to <br /> effectuate the provisions of this Agreement. <br /> 6.7 Counterparts. • <br /> This Agreement may be executed in counterparts, each of which shall be deemed <br /> to be an original and all of which together shall be deemed to be one and the same instrument. <br /> Copies of executed counterparts transmitted by telecopy, telefax or other electronic transmission <br /> service shall be considered originals. <br /> 6.8 Non - Assignability. <br /> Except as expressly permitted herein, this Agreement shall not be assigned by a <br /> Party without the prior written consent of the other Parties, and any attempted assignment, <br /> without such consent, shall be null and void. <br /> Smart OM - Version 2 -15- <br />
