WHEREAS, the Authority, through its Operations and Finance Committees, commits to <br /> use its best efforts to create, by December 1, 2011, an Operating and Maintenance Agreement <br /> ( "OMA ") that will further describe the terms and conditions for Operation of the Project and the <br /> Authority's service obligations to all Users, including without limitation: (i) the specific <br /> maintenance and operational requirements for the Project; (ii) the duration and scope of <br /> Authority's obligation to deliver radio service from the Project following termination of this <br /> Operating Agreement; (iii) the process used to determine operating costs of the Project; (iv) the <br /> baseline service levels for Users in their respective jurisdictions; (v) the payment schedule for <br /> and the amount of Operating Payments; (vi) the Authority's commitment of best efforts to <br /> complete repair or reconstruction of the Project within a reasonable time; (vii) the Authority's <br /> commitment of best efforts to provide continuous service to User and to minimize to the extent <br /> possible temporary interruptions of or reductions in service for necessary inspection, <br /> maintenance, repair or replacement of the Project; (viii) and the notification procedures to Users <br /> of temporary interruptions of or reductions in service. <br /> NOW, THEREFORE, for and in consideration of the premises and the material covenants <br /> hereinafter contained, the undersigned User and the Authority agree that the recitals are true and <br /> correct, and as follows: <br /> ARTICLE I <br /> DEFINITIONS <br /> Section 1.01. Definitions. <br /> Unless the context otherwise requires, the terms defined in this Section 1.01 shall for all <br /> purposes hereof, and of any amendment hereof, and of any opinion or report or other document <br /> mentioned herein or therein, have the meanings defined herein; the following definitions to be <br /> equally applicable to both the singular and plural forms of any of the terms defined herein. All <br /> capitalized terms used in this Operating Agreement and not defined herein shall have the <br /> meanings ascribed thereto in the Trust Agreement. <br /> "Act" means Articles 1 through 4 (commencing with Section 6500) of Chapter 5, <br /> Division 7, Title 1 of the Government Code of the State of California. <br /> "Authority" means the East Bay Regional Communications System Authority, a joint <br /> exercise of powers authority organized and existing under the Act and any successor thereto. <br /> "Authorized Representative" means: (a) with respect to the Authority, its Chair, Vice <br /> Chair, Executive Director, or Secretary, or any other person designated as an Authorized <br /> Representative of the Authority by a Written Certificate of the Authority signed by its Chair and <br /> filed with the Trustee; and (b) with respect to a User, any person authorized to perform any act or <br /> sign any document by or pursuant to a resolution of the governing board of such User and filed <br /> with the Authority. <br /> "Bondholder or " Bond Owner" means any person who shall be the registered owner of <br /> any Outstanding Bond. <br /> - 2 - <br /> P r o j e c t Operating Agreement 1 1 r 17; 10 <br /> City Attorney Group <br />
