Assignor is a party to that certain Owner Participation Agreement (the "OPA ") <br /> entered into by and between Assignor and the Agency, dated as of May 3, 2006, concerning the <br /> acquisition, rehabilitation and operation of an affordable housing project for low -, very low- and <br /> extremely low - income households fora period of not Tess than 55 years (the "Project "), located <br /> at 112 Garcia Avenue in San Leandro, California and more particularly described in the <br /> attached Exhibit A (the "Property"). <br /> 13. Assignor is also a party to that certain Amended and Restated Affordable <br /> Housing Regulatory Agreement and Declaration of Restrictive Covenants (the "Regulatory <br /> Agreement ") entered into by and between Assignor and the Agency, dated as of June 16, 2009 <br /> and recorded in the Official Records of Alameda County (the "Official Records ") on July 24, <br /> 2009 as instrument No. 2009238643. Capitalized terms not defined in this Agreement shall <br /> have the meaning ascribed to them in the OPA and Regulatory Agreement, as applicable. <br /> C. Assignor is also a party to that certain Loan Agreement (the "Agency' Loan <br /> Agreement ") entered into by and between Assignor and the Agency, dated as of May 3, 2006, <br /> pursuant to which Assignor executed that certain Promissory Note in the original principal <br /> amount of Five Hundred Thirty -Eight Thousand and Sixty -Seven Dollars ($538,067) (the <br /> "Agency Note "), dated as of April 26, 2006, and secured by that certain Deed of Trust dated as <br /> of April 26, 2006, and recorded in the Official Records on May 5, 2006, as Instrument No. <br /> 2006181159 (the "Agency Deed of Trust ").
