RELEASE AND RECONVEYANCE WHEREAS, the City of San Leandro Redevelopment Agency, a public body, corporate and politic, organized and existing under the laws of the State of California, is the Beneficiary (the "Beneficiary") under that certain Deed of Trust (the "Deed of Trust ") dated as of February 1, 2002, executed by Merced Street Property, LLC, a California limited liability company, as trustor (the "Original Trustor") to the City of San Leandro, a municipal corporation (the "Trustee "), and recorded on March 29, 2002, as Instrument No. 2002142337 in the Official Records of the Alameda County Clerk- Recorder, Alameda County, State of California, and affecting the real property described in the attached Exhibit A (the "Property "); WHEREAS, the Deed of Trust secures the payment and performance of a loan to Original Trustor in the amount of One Hundred Fifty Thousand Dollars and Zero Cents (5150,000.00) ( "Forgivable Loan "); WHEREAS, subsequent to recordation of the Deed of Trust, PH Holdings, LP, as the Original Trustor's successor in interest, ( "Successor Trustor") acquired fee title to the Property from Original Trustor, and in acquiring the Property, Successor Trustor agreed to be bound by the terms and conditions of the Loan and Deed of Trust; WHEREAS, Successor Trustor has satisfied the terms of the Loan Documents and have requested that Beneficiary release and reconvey said Deed of Trust, in accordance with its terms, all estates now held by said Trustee under said Deed of Trust in and to the Property;
