SECTION 6.05. Preservation and Inspection of Documents. The Trustee shall <br />retain in its possession all documents received by it under the provisions of this <br />Indenture, which are subject during normal business hours, and upon reasonable prior <br />written notice, to the inspection of the City and any Owner, and their agents and <br />representatives duly authorized in writing. <br />SECTION 6.06. Compensation and Indemnification. Absent any agreement to <br />the contrary, the City shall pay to the Trustee from time to time compensation for all <br />services rendered under this Indenture and also all expenses, charges, legal and <br />consulting fees and other disbursements and those of its attorneys (including any <br />allocated costs of internal counsel), agents and employees, incurred in and about the <br />performance of its powers and duties under this Indenture. <br />The City further covenants to indemnify the Trustee and its officers, directors, <br />agents and employees, against any loss, expense and liabilities, whether or not litigated, <br />which it may incur arising out of or in the exercise and performance of its powers and <br />duties hereunder, including the costs and expenses of defending against any claim of <br />liability and of enforcing any remedies hereunder and under any related documents, but <br />excluding any and all losses, expenses and liabilities which are due to the negligence or <br />willful misconduct of the Trustee, its officers, directors, agents or employees. The <br />obligations of the City under this Section 6.06 shall survive resignation or removal of the <br />Trustee under this Indenture and payment of the Bonds and discharge of this Indenture. <br />SECTION 6.07. Accounting Records and Financial Statements. The Trustee <br />shall at all times keep, or cause to be kept, proper books of record and account, <br />prepared in accordance with industry standards, in which complete and accurate entries <br />shall be made of all transactions made by it relating to the proceeds of the Bonds and all <br />funds and accounts established and held by the Trustee under this Indenture. Such <br />books of record and account shall be available for inspection by the City at reasonable <br />hours, during regular business hours, with reasonable prior notice and under reasonable <br />circumstances. The Trustee shall furnish to the City, at least semiannually, an <br />accounting (which may be in the form of its customary statements) of all transactions <br />relating to the proceeds of the Bonds and all funds and accounts held by the Trustee <br />under this Indenture. <br />ARTICLE VII <br />MODIFICATION OR AMENDMENT OF THIS INDENTURE <br />SECTION 7.01. Amendments Permitted. <br />(a) Amendment With Bond Owner Consent This Indenture and the rights and <br />obligations of the City and of the Owners of the Bonds may be modified or amended by <br />the City and the Trustee upon Request of the City at any time by the execution of a <br />Supplemental Indenture, with the written consents of the Owners of a majority in <br />aggregate principal amount of the Bonds then Outstanding, exclusive of Bonds <br />disqualified as provided in Section 9.05. Any such Supplemental Indenture becomes <br />effective upon the execution and delivery thereof by the parties thereto and upon <br />consent of the requisite Bond Owners.
