TDC:aaa 11121180 <br />obligations to make any payment to the City relating to the residential unit or relating to the Additional <br />Residential Unit, or to fund any of such library construction, respectively; <br />2) The Port's obligations under this Agreement with respect to any residential unit, <br />Additional Residential Unit, or the library shall terminate (A) for a residential unit, as to any construction <br />undertaken more than 6 years after the Obligations Effective Date (B) for an Additional Residential Unit, as <br />to any construction undertaken more than 6 years after the termination or the change in the Policy and (C) <br />for the library, as to any construction undertaken more than 7 years after the Port has delivered to the City <br />the noise insulation specifications for the library. <br />d) Record Keeping . The City agrees to keep and maintain books, records, documents, and <br />other evidence pertaining to the management and insulation work and the costs and expenses related <br />thereto to the extent and in such detail as will properly reflect the compliance of the contractor with the <br />management and construction contracts and the amounts that the City is legally obligated to pay and that <br />the Port is obligated under this Agreement to fund. These books, records, documents, and other evidence <br />shall be maintained by the City for at least four years after the recording of a notice of completion for the <br />contract involved, and shall be made available at reasonable times for inspection, audit and copying by <br />authorized representatives of the Port. <br />6.Easements . <br />a) City's Residential Airport Noise Insulation Program: The City and the Port agree that: <br />1) The City shall require each residential unit property owner, as a condition precedent to the owner's <br />participation in the City's Residential Airport Noise Insulation Program under Section 2 or Section 3, to fully- <br />execute and deliver a recordable Easement in the form attached as Exhibit 2; and (ii) The Port shall only be <br />City of San Leandro and Port of Oakland <br />Settlement Agreement Page 21 <br />29848
