TDC:aaa 11121188 <br />If notice of any change in address, telephone number or facsimile number is given to any Party, the <br />other Parties shall send future notices pursuant to this Section to the amended address, telephone number <br />or facsimile number. <br />15. Integrated Agreement: This Agreement supersedes any prior agreement, whether written or oral <br />and shall be effective once it is fully executed by all Parties. <br />16. Effective Date. This Agreement will become effective upon the later of (i) the date that both <br />Parties have executed the Agreement and (ii) November 20, 2000. <br />17. Heirs, Successors, and Assigns. The terms, provisions, and conditions contained in this <br />Agreement are covenants that run with the land and shall be binding upon and inure to the benefit of the <br />Parties and each of them and their heirs, successors, and assigns. <br />18. No Admissions Made. This is an Agreement of compromise. • Accordingly, the Parties agree that <br />none of its provisions constitute, or shall be construed as, an admission or as evidence conceming the <br />validity of the approval of the ADP by the Port or concerning the validity of any claim or allegation by the <br />City or any other party adverse to the Port in Alameda Case Nos. 793056 -0, 793028 -7, 793033 -9, 793046- <br />3, 815052 -9, 815330 -6 or 815053 -8. The Parties also.agree that nothing contained in this Agreement shall <br />be admissible in any litigation other than litigation to enforce its provisions; provided, however, that the <br />Parties may inform the Court that the City has dismissed their Petitions and Complaints and that the Parties <br />have agreed that the Port may move forward with the ADP. <br />City of San Leandro and Port of Oakland Page 28 <br />Settlement Agreement <br />29848
