Terms capitalized herein and not otherwise defined shall have the meanings set <br /> forth in the Loan Agreement(as defined below). <br /> RECITALS <br /> A. The City and Original Borrower have entered into that certain Loan Agreement,dated <br /> February 11, 2014(the"Loan Agreement"),pursuant to which the City agreed to make a loan to <br /> Original Borrower in the amount of One Hundred Thousand Dollars($100,000)comprised of <br /> funds that the City received from the Home Investment Partnership Act,established by the <br /> National Affordable Housing Act of 1990(42 USCA § 12471 et seq.) (the"City Loan"),to assist <br /> in the rehabilitation of one single family home located at 324 Lille Avenue in San Leandro, <br /> California and identified as Alameda County Assessor's Parcel 75-0167-010-00, as more <br /> particularly described in Exhibit A attached hereto and incorporated herein(the"Property"). The <br /> City Loan is further evidenced by a Promissory Note from Original Borrower to the City in the <br /> amount of$100,000(the "Note"), and secured by that certain Deed of Trust dated as of February <br /> 11, 2014 and recorded against the Property on February 18,2014, as Instrument No.2014050687 <br /> in the Official Records of Alameda County(the"Official Records") (collectively,the"Deed of <br /> Trust"). In connection with the City Loan,the City recorded a Regulatory Agreement against the <br /> Property on February 18, 2014 in the Official Records as Instrument No. 2014050688(the <br /> "Regulatory Agreement"). The Loan Agreement,the Note,the Deed of Trust and the Regulatory <br /> Agreement are collectively referred to herein as the"Loan Documents." <br /> B. Original Borrower is transferring the Property to the New Borrower pursuant to a <br /> Property Conveyance Agreement dated as of February 28, 2014(the "Property Conveyance <br /> Agreement"). <br /> C.
