<br />23 <br />not less than 90 days prior to each January 2 and June 1, the Successor Agency will submit to <br />the Oversight Board and the DOF, a Recognized Obligation Payment Schedule. <br /> <br />The Successor Agency further covenants to take all actions required under the <br />Redevelopment Law and the Dissolution Act to include in the Recognized Obligation Payment <br />Schedule for each Semiannual Period debt service on the 2014 Bonds and any Parity Debt, so <br />as to enable the County Auditor-Controller to distribute from the Redevelopment Property Tax <br />Trust Fund for deposit in the Redevelopment Obligation Retirement Fund on each January 2 <br />and June 1, as applicable, amounts required to enable the Successor Agency to pay timely <br />principal of, and interest on, the Bonds coming due in the applicable Semiannual Period, as <br />such amounts of debt service are set forth in the Recognized Obligation Debt Service Schedule <br />attached as Exhibit B to the Indenture, or as such Schedule may be amended. Notwithstanding <br />the foregoing, not fewer than 90 days prior to each January 2, commencing January 2, 2015, <br />the Successor Agency is required to submit an Oversight Board-approved Recognized <br />Obligation Payment Schedule to the DOF and to the County Auditor-Controller which shall <br />include the following: (i) all scheduled interest payments on all Outstanding Bonds that are due <br />and payable during the next calendar year, (ii) all scheduled principal and mandatory sinking <br />fund redemption payments on all Outstanding Bonds that are due and payable during the next <br />calendar year, and (iii) any amount required to cure any deficiency in the Reserve Account <br />pursuant to this Indenture (including any amounts required due to a draw on the Qualified <br />Reserve Account Credit Instrument. The Recognized Obligation Debt Service Schedule shall <br />not be amended except by Supplemental Indenture entered into pursuant to the Indenture. <br /> <br />In addition, the Successor Agency covenants that it will, on or before December 1 of <br />each year, file a Notice of Insufficiency with the County Auditor-Controller if the amount of Tax <br />Revenues available to the Successor Agency from the Redevelopment Property Tax Trust Fund <br />for transfer to the Redevelopment Obligation Retirement Fund on the upcoming January 2 is <br />insufficient to fully fund all required amounts payable from the Redevelopment Obligation <br />Retirement Fund during the next succeeding Semiannual Period. The Successor Agency also <br />covenants that on or before May 1 of each year, it will file a Notice of Insufficiency with the <br />County Auditor-Controller if the amount of Tax Revenues available to the Successor Agency <br />from the Redevelopment Property Tax Trust Fund for transfer to the Redevelopment Obligation <br />Retirement Fund on the upcoming July 1 is insufficient to fully fund all required amounts payable <br />from the Redevelopment Obligation Retirement Fund during the next succeeding Semiannual <br />Period. <br /> <br />The Successor Agency has no power to levy and collect taxes, and various factors <br />beyond its control could affect the amount of Tax Revenues available in any six-month period to <br />pay the principal of and interest on the 2014 Bonds (see “RISK FACTORS”). <br /> <br />History of Submission of the Recognized Obligation Payment Schedules. The <br />Successor Agency has procedures in place to ensure full and timely compliance with the above- <br />described covenant. Under the direction of the Office of Business Development, the Successor <br />Agency has submitted its Recognized Obligation Payment Schedules on a timely basis, as <br />described below. The Successor Agency is on schedule to submit its ROPS 14-15B on a timely <br />basis in September 2014. <br /> <br /> <br /> <br /> <br />
