Building without the prior written consent of the Family Parcel Lessee. BUFU <br />3.8 Garbage and Refuse Disposal. All rubbish, trash, and garbage shall be regularly <br />removed from the Property, and shall not be allowed to accumulate. Trash, garbage, and other <br />waste shall be kept in sanitary containers. All equipment for the storage or disposal of such <br />materials shall be kept in a clean and sanitary condition. All equipment, garbage cans, or storage <br />piles shall be kept screened and concealed from view of streets, and open spaces in the Lessee <br />Parcels. Each Lessee is responsible for the storage and disposal of the rubbish, trash, and <br />garbage generated from the activities of each such Lessee Parcel. <br />ARTICLE 4 <br />JOINT MAINTENANCE EXPENSES AND INSURANCE <br />4.1 Joint Maintenance Committee. The Joint Maintenance Committee shall consist <br />of three (3) members. Each Lessee shall appoint one representative to serve as a member of the <br />Joint Maintenance Committee. Each member of the Joint Maintenance Committee may be <br />removed from office at any time by his/her appointing Lessee with or without cause. Any <br />member of the Joint Maintenance Committee may resign at any time by giving written notice to <br />the appointing Lessee and the Joint Maintenance Committee. <br />(a) Meetings. The Joint Maintenance Committee shall meet annually, no later <br />than August 1 of each year, and at such other times as any two members of the Joint <br />Maintenance Committee may determine. A majority of the members of the Joint Maintenance <br />Committee shall constitute a quorum for conducting business and approving actions, provided <br />that the absent member was provided reasonable notice of the meeting and the opportunity to <br />comment on the actions to be taken by the Joint Maintenance Committee. <br />(b) Compensation. No member of the Joint Maintenance Committee shall <br />receive compensation for any service he or she may render to the Joint Maintenance Committee. <br />However, a member may be reimbursed for his or her actual, reimbursable, and necessary <br />expenses incurred in the performance of his or her duties and such expenses shall be considered a <br />Joint Expense. <br />(c) Rules. The Lessees may, by agreement, adopt procedural and substantive <br />rules for the operation of the Joint Maintenance Committee. <br />(d) Duties. The duties of the Joint Maintenance Committee shall include (i) <br />coordination of maintenance to Project -Serving Components, and repair after damage or <br />destruction to the Building (Section 4.2 below); (ii) preparation of Joint Expenses Budget <br />(Section 4.3 below); (iii) establishing, levying and collecting Joint Assessments (Sections 4.4 <br />and 4.5 below); (iv) establishing and monitoring reserves for reasonably anticipated <br />contingencies and repairs or replacements of Project -Serving Components (Section 4.8 below); <br />and (v) oversight of the joint insurance policy for the Project (Section 4.10 below). <br />(e) Limitation of Liability. The members of the Joint Maintenance <br />Committee shall not be liable to the Lessees, their Users, or other person for any injury, death, <br />15 <br />
