(f) Governing Law. The laws of the State of California shall govern <br /> this Promissory Note. <br /> (g) Amendment. This Promissory Note may not be changed orally, but <br /> only by an amendment in writing signed by ACI and approved by City. <br /> (h) Headings. The headings within this Promissory Note are for the <br /> purpose of reference only and shall not limit or otherwise affect any of the terms of the <br /> Promissory Note. <br /> (i) Assumptions. This Promissory Note may not be assumed in whole <br /> or in part without the prior written consent of City, which consent shall be given or <br /> withheld at the sole discretion of City. City may condition its consent to an assumption <br /> of this Promissory Note on the satisfaction of conditions reasonably required by City at <br /> the time of the assumption.
