AMENDMENT NO. 1 TO CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SAN LEANDRO AND THE PLANNING CENTER I DC&E (NOW KNOWN AS PLACEWORKS) This First Amendment("Amendment No. 1")to that certain Consulting Services Agreement,dated March 3, 2014 ("Agreement")and entered into between the City of San Leandro("City")and The Planning Center I DC&E, now known as Placeworks, ("Consultant") is entered into as of April 20, 2015. City and Consultant are hereinafter collectively referred to as the"Parties." RECITALS WHEREAS, the Parties executed the Agreement for Consultant to provide services related to the San Leandro General Plan Update on March 3, 2014; and WHEREAS,the City desires to amend Exhibit A of the Agreement to add an Economic Development Element to the San Leandro General Plan Update; and WHEREAS,the Parties wish to expand the scope of work as described in Exhibit A of the Agreement to add an Economic Development Element to the San Leandro General Plan Update; and WHEREAS,the Parties acknowledge that the amount of compensation authorized pursuant to the Agreement is not sufficient to compensate Consultant for an adjusted scope of work to add an Economic Development Element to the San Leandro General Plan Update;and WHEREAS, the City desires to increase the total sum of compensation authorized pursuant to the Agreement by Twenty Thousand Dollars($20,000)to a total not to exceed amount of Seven Hundred Ten Thousand, Six Hundred Sixty-Eight Dollars($710,668)for the purposes of including an Economic Development Element in the San Leandro General Plan Update; and WHEREAS, on April 20, 2015,the San Leandro City Council adopted Resolution No. 2015-086, approving an amount not to exceed $20,000 for the inclusion of an Economic Development Element in the General Plan Update. NOW THEREFORE, in consideration of the mutual covenants of the Parties and other good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows: 1. Exhibit A of the Agreement is amended to include an Economic Development Element to the San Leandro General Plan Update, attached as Exhibit 1 hereto and incorporated herein; and 2. Section 2 of the Agreement entitled"Compensation"is hereby amended to change the total not to exceed amount to Seven Hundred Ten Thousand, Six Hundred Sixty-Eight Dollars($710,668); and 3. All other terms of the Agreement shall remain in full force and affect.
