• 19. The parties to this Agreement expressly agree and acknowledge that neither this Agreement, the execution of the Owner Participation Agreement attached hereto,nor the negotiations for this Agreement, shall be considered implied or express admissions by any party as to the liability for any of the matters alleged in the Action. 20. The parties to this Agreement hereby acknowledge their commitment to fulfill the terms and conditions of the Owner Participation Agreement in a diligent and timely manner,and to prepare and/or deliver any and all documents necessary to effectuate any provision of this Agreement. 21. This Agreement may be executed in counterparts and all so executed shall constitute an agreement which shall be binding upon all parties hereto, notwithstanding that the signatures of all parties' designated representatives do not appear on the same page. 22. Each of the undersigned warrants that he is empowered to enter into this Agreement on behalf of the entity whose name appears adjacent to his signature, and that such authority has been granted upon satisfaction of all conditions precedent to the granting of such authority, whether imposed by statute, power of attorney, or otherwise.
