Bylaws of Warren Avenue Four Owners'Association <br />Page 9 <br />(a) Receive and deposit all of the funds, if any, of the Association in any bank selected by <br />the Board; <br />(b) Be responsible for and maintain the books and records to account for Association funds, <br />if any; <br />(c) Disburse and withdraw Association funds, if any, in the manner specified by the Board; <br />(d) Prepare and distribute the financial statements for the Association required by the <br />Declaration; and <br />(e) Act in place of the Secretary in the event of his or her absence, inability or refusal to act. <br />ARTICLE VI. BOOKS AND RECORDS <br />Required Books and Records <br />Section 6.01. The Association shall maintain at the Lot of the Secretary (as he or she <br />may serve from time to time): <br />(a) Copies of the Governing Instruments as last amended; <br />(b) Adequate and correct books and records of account; <br />(c) Written minutes of the proceedings of its Members and of its Board; and <br />(d) A Membership Register containing the following information about each Member: name, <br />mailing address and telephone number. <br />Inspection Rights <br />Section 6.02. Every Director/Member shall have the absolute right to inspect all books, <br />records, and documents of the Association at reasonable times established by the Board. The <br />right of inspection by a Director includes the right to make copies of documents. <br />ARTICLE VII. NONLIABILITY AND INDEMNIFICATION <br />Definition of Agent <br />Section 7.01. For purposes of this Article, "Agent" means any present or former <br />Director or Officer or any other employee or agent of the Association. <br />Non -liability <br />Section 7.02. Except as provided by law, no right, power, or responsibility conferred on <br />the Board or by the Governing Instruments shall be construed as a duty or obligation charged <br />
