2. Resolution No. _______ of the City Council of the City, entitled <br />“__________________,” was duly and validly adopted by the City Council on July 18, 2016, <br />and such resolution has not been amended or repealed and remains in full force and effect. <br />3. The City Documents have been duly authorized, executed and delivered by the <br />City, and, assuming due authorization, execution and delivery by the other parties thereto, <br />constitute legal, valid and binding agreements of the City and are enforceable in accordance with <br />their respective terms. <br />4. Compliance by the City with the City Documents will not conflict with, or <br />constitute a breach or default under, any law, regulation, court decree, resolution, ordinance or <br />other agreement to which the City is subject or by which it is bound. <br />5. To the best of my knowledge after due inquiry, there is no litigation, action, suit <br />or proceeding pending or before any court, administrative agency, arbitrator or governmental <br />body, or threatened, that challenges the organization or existence of the City; the authority of the <br />City or its officers or its employees to enter into the City Documents; the authorization, <br />execution and delivery of the City Documents; or the ability of the City otherwise to perform its <br />obligations under the City Documents. <br />Documents are limited by bankruptcy, insolvency, reorganization, moratorium and other <br />similar laws affecting creditors' rights generally, and by equitable principles, whether considered <br />in law or inequity. <br />This opinion is given as of the date hereof, and I assume no obligation to revise or <br />supplement this opinion to reflect any facts or circumstances that may hereafter come to my <br />attention, or any changes in law that may hereafter occur. <br /> <br /> <br />Respectfully submitted, <br /> <br /> <br />City Attorney for the City of San Leandro <br /> <br />200
