CLN <br />shall not employ any Customer official in the work performed pursuant to this Agreement. No officer or <br />employee of Customer shall have any financial interest in this Agreement that would violate California <br />Government Code Sections 1090 et seq. CLN hereby warrants that it is not now, nor has it been in the <br />previous 12 months, an employee, agent, appointee, or official of Customer. If CLN was an employee, agent, <br />appointee, or official of Customer in the previous twelve months, CLN warrants that it did not participate in any <br />manner in the forming of this Agreement. CLN understands that, if this Agreement is made in violation of <br />Government Code § 1090 et seq., the entire Agreement is void and CLN will not be entitled to any <br />compensation for services performed pursuant to this Agreement, including reimbursement of expenses, and <br />CLN will be required to reimburse Customer for any sums paid to CLN. CLN understands that, in addition to <br />the foregoing, it may be subject to criminal prosecution for a violation of Government Code § 1090 and, if <br />applicable, will be disqualified from holding public office in the State of California. <br /> <br />16. Miscellaneous. CLN may provide notices under this Agreement to any address listed below or any <br />address identified in an Order. Notices to CLN will be made in writing to the address below. Services may be provided by CLN or its affiliates. This Agreement is the entire agreement between the parties respecting the <br />subject matter hereof and can only be modified in a writing signed by both parties. Neither party will be liable, nor will any remedy provided by this Agreement be available, for any failure to perform due to causes beyond <br />such party’s reasonable control. If either party fails to enforce any right or remedy under this Agreement, such <br />failure will not waive the right or remedy. This Agreement will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law’s provisions.
