City and <br />Developer are hereinafter collectively referred to as the "Parties." <br />1. The Parties have entered into that certain Loan Agreement dated as of May 1, 2017 <br />(the "Loan Agreement"), pursuant to which Developer has agreed to develop certain real property <br />(the "Property") located within the Project Area and more particularly described in Exhibit A <br />attached hereto and incorporated herein by this reference. <br />2. The Parties have executed and recorded this instrument to give notice of the Loan Agreement <br />and the respective rights of the Parties thereunder. Copies of the unrecorded Loan Agreement are <br />available at the offices of the City, 835 East 14' Street, San Leandro, California, 94577 and such <br />document is incorporated by reference in its entirety in this Memorandum. This Memorandum is <br />solely for recording purposes and shall not be construed to alter, modify, amend or supplement the <br />Loan Agreement. In the event of any inconsistency between this Memorandum and the Loan <br />Agreement, the Loan Agreement shall control. <br />5. This Memorandum shall be interpreted and enforced in accordance with California law <br />without regard to principles of conflict of laws. This Memorandum may be executed in counterparts. <br />6.
