<br />56 <br /> <br />A copy of the proposed form of Bond Counsel’s final approving opinion with respect to <br />the 2018 Bonds is attached hereto as APPENDIX F. <br /> <br />In addition, certain legal matters will be passed on by Jones Hall, A Professional Law <br />Corporation, as Disclosure Counsel and Quint & Thimmig LLP, as Underwriter’s Counsel. <br /> <br />Certain legal matters will be passed on for the Successor Agency by the Meyers, Nave, <br />Riback, Silver & Wilson, as City Attorney and Successor Agency counsel. <br /> Compensation paid to Bond Counsel, Disclosure Counsel and Underwriter’s Counsel is <br />contingent upon the sale and delivery of the 2018 Bonds. <br /> <br />No Litigation <br /> <br />There is no action, suit or proceeding known to the Successor Agency to be pending and <br />notice of which has been served upon and received by the Successor Agency, or threatened, <br />restraining or enjoining the execution or delivery of the 2018 Bonds or the Indenture or in any <br />way contesting or affecting the validity of the foregoing or any proceedings of the Successor <br />Agency taken with respect to any of the foregoing. <br /> <br />Miscellaneous <br /> <br />All of the preceding summaries of the Indenture, the Redevelopment Law, the <br />Dissolution Act, other applicable legislation, the Redevelopment Plans for the Project Area, <br />agreements and other documents are made subject to the provisions of such documents <br />respectively and do not purport to be complete statements of any or all of such provisions. <br />Reference is hereby made to such documents on file with the Successor Agency for further <br />information in connection therewith. <br /> <br />This Official Statement does not constitute a contract with the purchasers of the 2018 <br />Bonds.
