COMMUNICATIONS FACILITIES <br />LICENSE AGREEMENT <br />THIS LICENSE AGREEMENT (“License” or “Agreement”), made and entered into this 18th <br />day of June 2018,(“Effective Date”) by and between the County of Alameda, a political subdivision of <br />the State of California, hereinafter referred to as "County" and the City of San Leandro, a California <br />charter city, hereinafter referred to as "Licensee". County and Licensee are sometimes referred to <br />individually as “party” and collectively as “parties”. <br />W I T N E S S E T H: <br />WHEREAS,County owns property at 2892 Fairmont Drive, San Leandro (the “Property”); and <br />WHEREAS, on the Property there are a number of structures, including a structure that is currently <br />being used for communications equipment, more particularly described in Exhibit “A-1”, attached hereto <br />and incorporated herein by reference (the “Site”); and <br />WHEREAS, Licensee is a public agency; and <br />WHEREAS, Licensee desires to locate and maintain communication equipment (including racks and <br />antennas) more particularly described in Exhibit “B”, attached hereto and incorporated herein by <br />reference (“Equipment”) in a portion of the Site more particularly described in Exhibit “A-2”, attached <br />hereto and incorporated herein by reference (the “Licensed Area”); and <br />WHEREAS, Licensee’s proposed use of the Licensed Area is in the public interest in that it supports <br />Licensee’s deployment of a public Wi-Fi system for residents and visitors to the City of San Leandro, <br />and Licensee’s work will not substantially conflict or interfere with the use of the Property by the <br />County; and <br />WHEREAS, County is agreeable to Licensee having non exclusive use of the Licensed Area upon the <br />terms and conditions contained in this License. <br />NOW, therefore, it is mutually agreed as follows: <br />1. DESCRIPTION OF PROPERTY <br />The Site, described in Exhibit "A-1" and the Licensed Area, described in Exhibit “A-2”, of the <br />Property are the subject of this License. Exhibit "A-1" and Exhibit “A-2” are attached hereto and <br />incorporated herein by reference. <br />858
