<br /> <br /> <br />BASIC LICENSE INFORMATION <br />City: City of San Leandro, a California charter city <br />Licensee: Mobilitie, LLC, a Nevada limited liability company <br />Term (§ 3.1.1): Ten (10) years, beginning on the Effective Date. <br />Master License Effective Date (§ 3.1.1): The first day of the month after the date the <br />parties have fully executed this Master License. <br />Master License Expiration Date (§ 3.1.1): The day before the 10th anniversary of the <br />Effective Date. <br />Pole License term and effective dates (§ <br />3.1.1): <br />For each Pole License, the effective date shall be <br />the first day of the month after the date the parties <br />have fully executed it. <br />Pole License application deadline (§ 3.1.3): Licensee may submit Pole License applications at <br />any time during the Term. <br />License Fee Commencement Date (§ 4.1); <br />Acknowledgment Letter (§ 4.1.2): <br />For each Pole License, the earlier of: (a) the first <br />anniversary of the effective date of the Pole <br />License; and (b) the first day of the month after <br />the date on which Licensee has obtained all <br />Regulatory Approvals. The City will confirm the <br />Commencement Date for each Pole License in the <br />countersigned Acknowledgment Letter. <br />License Fee rate (§ 4.2.1): As of the License Fee Commencement Date, <br />Licensee will be obligated to pay City an annual <br />License Fee at a rate based on the number of City <br />Poles licensed under each Pole License. <br />City will provide the License Fee schedule for <br />each Pole License with the signed <br />Acknowledgment Letter, and the schedule will be <br />deemed to be attached to the Pole License as <br />Exhibit A-4. <br />Integrated Pole License Fee discount (§ <br />4.2.4): <br />20% discount to the License Fee rate per City <br />Pole upgraded to an Integrated Pole over the <br />remaining term of each applicable Pole License. <br />License Fee Adjustment Dates (§ 4.3): License Fee rates will escalate by three percent <br />(3%) on January 1 of each year of the Term. <br />Master License Application Processing <br />Payments (§ 4.6): <br />$4,000, to be delivered with Licensee’s partially <br />executed counterpart of this Master License. The <br />payment, and any additional amounts required, <br />will be used for City’s ordinary processing and <br />administrative costs related to the Master License <br />application as deposited in a Customer Number <br />account established by the City’s Finance <br />Department. <br />Pole License Administrative Payments <br />(§ 4.7): <br />$1,865 per Standard City Pole, to be delivered <br />with Licensee’s application for each Pole License. <br />This includes a non-refundable application fee, <br />and a deposit. This initial payment, and any <br />necessary replenishment(s) thereof, will be used <br />to cover the City’s actual and reasonable costs to <br />review and administer the application process <br />upon delivery of each Pole License application. <br />City will identify the amount of the deposit for
