Schedule 1 <br />Page 11 <br />EXHIBIT C <br />DARK FIBER LICENSE AGREEMENT <br />This Dark Fiber License Agreement ("Agreement") is entered into this ___ day of <br />___________, 2018 by and between ExteNet Systems (California) LLC, ("ExteNet"), and the City <br />of _San Leandro, California_ (“Licensee"). ExteNet and Licensee are sometimes referred to herein <br />individually as a “Party” or collectively as the “Parties.” <br />Background <br />WHEREAS, this Agreement is made in light of the following premises and circumstances, <br />all of which are a part of this Agreement: <br />A.ExteNet, a California limited liability company authorized to provide full facilities-based <br />local exchange and interexchange telecommunications services under a Certificate of <br />Public Convenience and Necessity issued by the California Public Utilities Commission, <br />will be the owner of certain fiber optic cables comprising a component of a small cell, <br />distributed antenna system or other similar telecommunications facilities (“DAS”) <br />network that ExteNet plans to install in, over and/or under the public rights of way <br />(“ROW”) within the geographic boundaries of Licensee for the provision of <br />telecommunications service (the “Network”); <br />B.Licensee is a California charter city with jurisdiction over the ROW for certain purposes <br />and is the owner of certain conduits located within the ROW(“City Conduit”); <br />C.The planned route of ExteNet’s fiber optic cable for the Network is depicted on the Fiber <br />Route Map attached hereto as Exhibit 1; <br />D.The Network may consist of City Conduit, new conduit installed by ExteNet, or a <br />combination of both; <br />E. Licensee is entitled to manage the public ROW and to require fair and reasonable terms <br />of compensation for allowing ExteNet access to the ROW, including an annual fee for <br />the use of any City Conduit, based on a fair market value agreed to by the Parties; <br />F.ExteNet and Licensee have entered into a Master License Agreement dated [DATE] <br />(“MLA”); <br />G.For any Fiber Segment that ExteNet installs in either existing or new conduit for the <br />Network, ExteNet will reserve a minimum of six (6) Dark Fiber strands in the ExteNet <br />Cable for the exclusive use of Licensee as required by Licensee in connection with the <br />execution of the MLA.
