EMERGENCY MEDICAL SERVICES FIRST RESPONDER ADVANCED LIFE SUPPORT AGREEMENT (7/1/2019)
<br />16.5 Indemnification
<br />Each party shall indemnify, defend, protect, hold harmless, and release the other, their
<br />elected bodies, officer, agents, and employees, from and against any and all claims, losses,
<br />proceedings, damages, causes of action, liability, costs, or expense (including attorney's fees
<br />and witness costs) arising from or in connection with, or caused by any negligent act or
<br />omission or willful misconduct of such indemnifying party, except to the extent the
<br />indemnified party contributed to the negligence or willful misconduct. This indemnification
<br />obligation shall not be limited in any way by any limitation on the amount or type of
<br />damages or compensation payable to or for the indemnifying party under workers'
<br />compensation acts, disability benefit acts, or other employee benefit acts.
<br />16.6 Insurance
<br />City shall at all times during the term of the Agreement with the County maintain in force
<br />the insurance coverage specified in EXHIBIT 13- MINIMUM INSURANCE REQUIREMENTS, and shall
<br />comply with all those requirements as stated therein.
<br />16.7 Conformity with Law and Safety
<br />a. In performing Services under this Agreement, City shall, at all times, observe and comply
<br />with all applicable laws, ordinances, codes and regulations of governmental agencies,
<br />including Federal, State, municipal, and local governing bodies, having jurisdiction over
<br />the Services, including, but not limited to, all applicable provisions of the California
<br />Occupational Safety and Health Act. It shall be City's sole responsibility to be fully
<br />familiar with all such applicable laws, ordinances, and regulations. City shall indemnify
<br />and hold County harmless from any and all liability, fines, penalties and consequences
<br />from any failure by City to comply with such laws, ordinances, codes and regulations.
<br />b. If a death, serious personal injury, or substantial property damage occurs in connection
<br />with City's performance of this Agreement and warrants submission of an Alameda
<br />County EMS Unusual Occurrence Report (as per EMS Policy), City shall immediately
<br />notify County by contacting the Alameda County Regional Emergency Communications
<br />Center (ACCREC), as per EMS policy, and ask to speak to the EMS person on-call. City
<br />shall promptly submit to County a written report, in such form as may be required by
<br />County, of all accidents that occur in connection with this Agreement. This report must
<br />include:
