<br />-21- <br />15966623.1 <br />(e) Management of Capital Costs for the Union Effluent Pump Station. <br />In fiscal years from 2020/21 through 2029/30, the Authority will pay Union a total of <br />Four Million, Two-Hundred Thousand dollars ($4,200,000), divided in ten equal and annual <br />installments, as a credit toward their annual budget contribution for Operation and Maintenance <br />Costs, for all Capital Costs associated with the Union Effluent Pump Station during the Term of <br />the Agreement. These Capital Costs will be allocated based on Maximum Flow Rate Capacity, <br />excluding San Leandro, as set forth in Schedule H. Union will undertake control and <br />responsibility of all Capital Costs for the Union Effluent Pump Station, in consultation with the <br />Authority. Any Capital Costs for the Union Effluent Pump Station in excess of the amount set <br />forth above will be borne by Union. <br />(f) Renewal and Replacement Fund. <br />The Authority has established a Renewal and Replacement Fund to provide funding for <br />the Capital Costs of rehabilitation and replacement of Authority Facilities. Each Agency will <br />fund the Renewal and Replacement Fund in such amounts as may be determined by the <br />Commission, taking into account the foregoing Capital Cost allocations. <br />(g) Authority Cost Allocation Summary <br />For convenience of reference, Schedule I includes a summary of the above listed costs <br />and the respective allocation and schedule. <br />Section 13. Payment of Operation and Maintenance and Capital Costs <br />Not later than March 1st of each year, the Authority will provide each Agency with an <br />estimate of its allocated share of the projected Operation and Maintenance Costs and Capital <br />Costs for the forthcoming Fiscal Year. Each Agency hereby agrees to include in each annual <br />budget approved by the governing body of such Agency amounts estimated to be sufficient to <br />pay all such charges and to pay to the Authority within thirty days of receipt of a statement of the <br />Agency's allocated share of the actual Operation and Maintenance Costs and Capital Costs for <br />the billing period. The billing period will be determined by the Commission. The Authority is <br />hereby authorized to take any or all legal actions necessary and permitted by law to enforce the <br />collection of such charges or any other compliance with this Agreement, including, but not <br />limited to, actions or proceedings in mandamus to require each Agency to include the amounts
