DISPOSITION AND DEVELOPMENT AGREEMENT <br />THIS DISPOSITION AND DEVELOPMENT AGREEMENT (this "Agreement") is <br />entered into as of February 24, 2020 (the "Agreement Date"), by and between the City of San <br />Leandro, a California charter city organized and existing under the laws of the State of California <br />("City"), and Cal Coast Companies LLC, Inc., a Delaware corporation doing business in <br />California as Cal Coast Developer, Inc. ("Developer"). City and Developer are referred to <br />individually as "Party," and collectively as the "Parties." <br />RECITALS <br />This Agreement is entered into upon the basis of the following facts, understandings and <br />intentions of City and Developer. <br />A. The City seeks development of certain City -owned property consisting of <br />approximately seventy-five (75) acres located within the City limits in the Shoreline -Marina area <br />as depicted in Exhibit A attached hereto (the "Property"). <br />B. The City previously entered into an Exclusive Negotiating Rights Agreement with <br />Developer on April 2, 2012 regarding development of the Property, which the Parties have <br />subsequently amended from time to time. <br />C. Developer desires to develop the Property with a multi-component development <br />that includes, but is not limited to construction of, single and multifamily for sale residential units <br />("Single Family Element"), reconstruction of an existing golf course ("Golf Course Element"), <br />a hotel ("Developer Hotel Element"), a multifamily apartment complex ("Multifamily <br />Element"), a restaurant ("Developer Restaurant Element"), a market ("Market Element"), <br />reconstruction of Monarch Bay Drive (the "Monarch Bay Drive Element"), and associated <br />infrastructure and public improvements ("Infrastructure Element") (as defined more fully in <br />Section 1.4 below, the "Project"). The elements of the Project to be developed by Developer are <br />described below: <br />(1) The Single Family Element consists of the design and construction of <br />between 200 and 215 detached and attached single-family homes and attached townhomes that <br />include affordable units in accordance with the requirements of the City's inclusionary housing <br />ordinance as specified herein; <br />(2) The Golf Course Element consists of the redesign and reconstruction of a <br />nine hole links style golf course; <br />(3) The Developer Hotel Element consist of the design and construction of a <br />hotel with between 200 and 220 rooms, publicly accessible outdoor space, and an approximately <br />5000 square foot restaurant; <br />(4) The Multifamily Element consists of the design and construction of a <br />market -rate multifamily residential development with approximately 285 rental units; <br />
