48 <br /> <br />9.15. Third Party Beneficiaries. <br />Except as otherwise provided herein, City and Developer hereby renounce the existence <br />of any third-party beneficiary to this Agreement and agree that nothing contained herein shall be <br />construed as giving any other person or entity third party beneficiary status. <br />9.16. Constructive Notice and Acceptance. <br />Every person who now or hereafter owns or acquires any right, title or interest in or to <br />any portion of the Property is and shall be conclusively deemed to have consented and agreed to <br />every provision contained herein, whether or not any reference to this Agreement is contained in <br />the instrument by which such person acquired an interest in the Property. <br />9.17. Counterparts. <br />This Agreement may be executed by each Party on a separate signature page, and when <br />the executed signature pages are combined, shall constitute one single instrument. <br />9.18. City Approvals and Actions. <br />The City shall maintain authority of this Agreement and the authority to implement this <br />Agreement through the City Manager (or designee). The City Manager (or designee) shall have <br />the authority to make approvals, issue interpretations, waive provisions, make and execute <br />further agreements and/or enter into amendments of this Agreement on behalf of the City so long <br />as such actions do not materially or substantially change the uses or construction permitted on <br />the Property, or materially or substantially add to the costs incurred or to be incurred by the City <br />as specified herein, or materially or substantially reduce the revenue earned or to be earned by <br />City, and such interpretations, waivers and/or amendments may include extensions of time to <br />perform as specified in the Schedule of Performance. All other material and/or substantive <br />interpretations, waivers, or amendments shall require the consideration, action and written <br />consent of the City Council. Notwithstanding the foregoing, the City Manager shall maintain the <br />right to submit to the City Council for consideration or action any matter under the City <br />Manager’s authority if the City Manager desires to do so. The City Manager may delegate some <br />or all of his or her powers and duties under this Agreement to one or more management level <br />employees of the City. <br />9.19. Authority. <br />The persons signing below represent and warrant that they have the authority to bind their <br />respective Party and that all necessary board of directors’, shareholders’, partners’, city <br />councils’, or other approvals have been obtained. <br />SIGNATURES ON FOLLOWING PAGE
