<br />-27- <br />15966623.2 <br />(c) Negotiations to Extend the Term of the Agreement <br />Five years before the end of the Term, the Agencies will enter into good faith <br />negotiations to determine whether it is appropriate to renew, extend, revise, replace or terminate <br />the Agreement. Such negotiations may include matters such as the process by which Agencies <br />may leave the Authority prior to and following any renewal, extension, revision or replacement <br />of the Agreement and the related disposition of assets and obligations, the ownership of <br />Facilities, and whether Agencies will be permitted to reduce their Maximum Flow Rate <br />Capacities. In the event all Agencies are unable to reach agreement prior to the end of the Term, <br />the Agreement will terminate. <br />(d) Disposition of Obligations Imposed After Termination or Expiration of the <br />Agreement. <br />The Agencies acknowledge that it is possible obligations arising out of or related to the <br />Agreement may remain following termination of, or be imposed on the Authority after <br />termination of, the Agreement, for which events giving rise to such obligations arose during the <br />Term of the Agreement. Such obligations may include the decommissioning or disposal of <br />Facilities, if ordered by a regulator y agency or other entity. In the event such post-termination or <br />post-expiration obligations remain or are imposed, the costs related to such obligations will be <br />apportioned to all Agencies based on each Agency's Maximum Flow Rate Capacity as of July 1, <br />2020. <br />(e) Survival of Obligations <br />The Agencies’ obligation to fund post-termination or post-expiration obligations <br />referenced in subsections (b)(iv) and (d), above, will survive termination or expiration of this <br />Agreement. <br />(f) Post-Termination Notices <br />Upon termination of this Agreement, the Authority will designate a contact name and <br />address for any post-termination or post-expiration notices. <br />697
