EAST BAY DISCHARGERS AUTHORITY <br />AMENDED AND RESTATED JOINT EXERCISE OF POWERS AGREEMENT <br />THIS AMENDED AND RESTATED JOINT EXERCISE OF POWERS AGREEMENT, <br />dated for convenience as of July 1, 2020, is made and entered into by and between the CITY OF <br />HAYWARD, a municipal corporation, hereinafter referred to as "Hayward"; CITY OF SAN <br />LEANDRO, a municipal corporation, hereinafter referred to as "San Leandro"; ORO LOMA <br />SANITARY DISTRICT, a public corporation, hereinafter referred to as "Oro Loma"; CASTRO <br />VALLEY SANITARY DISTRICT, a public corporation, hereinafter referred to as "Castro <br />Valley"; and UNION SANITARY DISTRICT, a public corporation, hereinafter referred to as <br />"Union"; each duly organized and existing in the County of Alameda under the constitution and <br />laws of the State of California, and amends and restates that Fourth Amended Joint Exercise of <br />Powers Agreement dated January 1, 2020, duly entered into by said Agencies, as follows: <br />WITNESSETH: <br />WHEREAS, each of the Agencies hereto has power to plan for, acquire, construct, <br />maintain, manage, operate, and control facilities for the collection, transmission, treatment, <br />reclamation, sale and disposal of wastewater; and the Agencies propose by this Agreement to <br />exercise said powers jointly for the purpose of providing for the more efficient disposal of the <br />wastewater produced in each Agency, all to the economic and financial advantage of each <br />Agency and otherwise for the benefit of each Agency; and each of the Agencies is willing to plan <br />with the other Agencies for joint wastewater facilities which will protect all of the Agencies; <br />WHEREAS, the Agencies first entered into a Joint Exercise of Powers Agreement on <br />February 15,1974; amended such Agreement on January 3, 1978; supplemented such Agreement <br />on October 5, 1981, February 15, 1983, and twice on April 26, 1983; and amended such Joint <br />Exercise of Powers Agreement on February 11, 1986, February 15, 2007, and January 1, 2020; <br />WHEREAS, the Agencies desire that this Amended and Restated Joint Exercise of <br />Powers Agreement supersede and supplant all previous iterations of this Agreement as set forth <br />above; <br />-1- <br />15966623.2 <br />
