and as otherwise granted by the Act. The purpose of the Agreement is to provide for the more <br />efficient disposal (discharge to San Francisco Bay as well as reclamation or reuse of wastewater) <br />of the wastewater produced in each Agency's jurisdiction, all to the economic and financial <br />advantage of each Agency and otherwise for the benefit of each Agency. <br />Section 3. Term <br />This Amended and Restated Agreement will become effective on July 1, 2020 and will <br />continue in full force and effect until June 30, 2040, unless sooner terminated by mutual <br />agreement as set forth in Section 20. <br />Section 4. Creation of Authority <br />The Authority will exercise the powers as hereinafter set forth. The Authority is a public <br />entity separate from the Agencies. No debt, liability, or obligation of the Authority will <br />constitute a debt, liability, or obligation of any Agency, except as expressly provided for herein. <br />Section 5. Powers <br />(a) General Powers <br />The Authority will exercise, in the manner herein provided, the powers which are <br />common to each Agency, or as otherwise permitted under the Act, and all incidental, implied, <br />expressed, or necessary powers to accomplish the purposes of this Agreement. The Authority <br />will have power to plan for, acquire, construct, manage, maintain, operate, and control facilities <br />for the collection, transmission, treatment, reclamation, sale and disposal of wastewater and to <br />enter into contracts to provide services to other governmental or non-governmental entities <br />within or outside its boundaries. <br />(b) Specific Powers <br />The Authority is hereby authorized, in its own name, to perform all acts necessary for the <br />exercise of said powers, as allowed by law, including but not limited to any or all of the <br />following: <br />(a) to make and enter into contracts; <br />(b) to employ agents and employees; <br />-6- <br />15966623.2 <br />
