forth in this subsection 10(b). Upon termination or expiration of the Agreement, the Authority <br />Facilities (excluding the pump stations) will be disposed of as set forth in Section 20. <br />In the event Union relocates the Union Effluent Pump Station from its location as of the <br />effective date of this Agreement, ownership of the pump station will transfer to Union at that <br />time. Union and the Authority agree to execute any and all documents necessary to effectuate <br />such transfer. At such time, the General Manager will update Schedule A and the revised <br />Schedule A will be automatically incorporated in this Agreement. Operation and Maintenance <br />costs of the Union Effluent Pump Station will continue to be allocated as outlined in Schedule B <br />for the duration of the Term, irrespective of ownership. <br />(c) Responsibility for Failure of the Transport System. <br />(1) <br />State or Federal Reimbursement. <br />In the event of Failure of the Transport System, the Authority will be the <br />applicant for the purposes of any state or federal reimbursement, if applicable. <br />(2) <br />Determination of Failure. <br />The General Manager is responsible for determining whether a Failure has <br />occurred, in accordance with applicable Policies and Procedures. In the event of such <br />determination, the Authority will provide written notice of the Failure to the Agency(ies) using <br />the relevant segment of the Transport System affected by the Failure within 24 hours of the <br />determination. The General Manager's determination may be appealed to the Commission in <br />accordance with applicable Policies and Procedures. <br />(3) Temporary and Emergency Repair. <br />In the event of Failure, the Authority will be responsible for performing any <br />required temporary and emergency repair reasonably necessary to prevent further harm to the <br />Transport System, to other Authority Facilities, or to third parties or the environment, and to <br />promptly restore the function of that portion of the Transport System that failed. <br />(4) Permanent Repair. <br />In the event of Failure of the Transport System, the Agencies currently using the <br />relevant segment of the Transport System affected by the Failure may determine whether or not <br />to: (a) undertake a permanent (20 -years or more) repair to the Transport System in order to <br />-14- <br />15966623.2 <br />
