The grantee shall include the nondiscrimination and compliance provisions of this <br />clause in all contracts to perform work under this agreement. <br /> <br />XVIII. AMERICANS WITH DISABILITIES ACT <br />By signing this agreement, grantee certifies that it is in compliance with the <br />Americans with Disabilities Act (ADA) of 1990, (42 U.S.C., 12101 et seq.), which <br />prohibits discrimination on the basis of disability, as well as all applicable <br />regulations and guidelines issued pursuant to the ADA. <br /> <br />XIX. PREVAILING WAGE <br />Work done under this grant agreement may be subject to the prevailing wage and <br />other related requirements of the California Labor Code, Division 2, Part 7, Chapter <br />1, sections 1720-1861. If required by law to do so, the grantee shall pay prevailing <br />wage to all persons employed in the performance of any part of the project and <br />otherwise comply with all associated requirements and obligations. <br /> <br />XX. INDEPENDENT CAPACITY <br />The grantee, and the agents and employees of the grantee, in the performance of <br />this agreement, will be acting in an independent capacity and not as officers or <br />employees or agents of the Authority. <br /> <br />XXI. ASSIGNMENT <br />Without the written consent of the Executive Officer, this agreement is not <br />assignable by the grantee in whole or in part. <br /> <br />XXII. TIMELINESS <br />Time is of the essence in this agreement. <br /> <br />XXIII. EXECUTIVE OFFICER’S DESIGNEE <br />The Executive Officer shall designate an Authority project manager who shall have <br />authority to act on behalf of the Executive Officer with respect to this agreement. <br />The Executive Officer shall notify the grantee of the designation in writing. <br /> <br />36
