<br />Amendment No. 1 to <br />Non-Professional Services Agreement between City of San Leandro and GoGo Technologies, <br />Inc. July 1, 2021 <br /> Page 2 of 8 <br /> “1.1 Term of Services. The term of this Agreement shall begin on July 1, 2021 <br />(the “Effective Date”) and shall end on June 30, 2022, the date of completion specified in <br />Exhibit A, and Contractor shall complete the work described in Exhibit A on or before that <br />date, unless the term of the Agreement is otherwise terminated or extende d, as provided <br />for in Section 8. The time provided to Contractor to complete the services required by <br />this Agreement shall not affect the City’s right to terminate the Agreement, as referenced <br />in Section 8.” <br /> <br /> 3. Section 4.2.1 General Requirements is replaced in its entirety with the <br />following amended language: <br /> <br /> “4.2.1 General Requirements. Contractor shall require Transportation Network <br />Companies (“TNCs”) providing services pursuant to this Agreement to obtain <br />automobile liability insurance for the duration of the term of this Agreement in an <br />amount not less than $1,000,000. Contractor shall require TNCs to provide a certificate <br />of insurance evidencing this insurance and naming the City as an additional insured. <br />Contractor shall monitor such insurance obtained by TNCs in accordance with this <br />Agreement, and notify the City as soon as reasonably possible when it becomes aware <br />of any changes in insurance. Such insurance shall meet the requirements of this <br />section and under forms of insurance satisfactory in all respects, and that such <br />insurance is in effect prior to beginning work. If an automobile liability form or other <br />form with a general aggregate limit is used, either the general aggregate limit shall apply <br />separately to the work to be performed under this Agreement or the general aggregate <br />limit shall be at least twice the required occurrence limit. Such coverage shall include <br />but shall not be limited to, protection against claims arising from bodily and personal <br />injury, including death resulting therefrom, and damage to property resulting from <br />activities contemplated under this Agreement, including the use of owned and non- <br />owned automobiles.” <br /> <br /> 4. Exhibit A is replaced in its entirety with the following amended language: <br /> <br />“EXHIBIT A <br />SCOPE OF SERVICES <br />The information below described the most current status of the paratransit program. <br />Depending on the funds available, and the cost of service, these parameters may be <br />expanded or reduced. It is the desire of the City to maximize the level of service that <br />can be provided for the fixed funds available. <br /> <br />Consultant will conduct a subsidized senior rides program (the “Program”) for City’s <br />senior residents and residents with disabilities who are 18 years old and are East Bay <br />Paratransit certified (“Customers”). This program is subsidized by the City in an effort to <br />support mobility of Customers.
