<br /> <br />4810-5342-0509, v. 2 <br /> 63 <br /> <br />of the Association; and (p) determination not to require professional management if required pursuant to <br />this Declaration. <br />Any Mortgagee who receives written request to consent to additions or amendments requiring consent <br />under this provision who does not deliver to the requesting party a negative response within sixty (60) days <br />after receipt of a notice delivered by certified or registered mail, return receipt requested, shall be deemed <br />to have consented to such request. If any provision of this Declaration requires a greater or lesser <br />percentage of the voting rights of any class of Members in order to take affirmative or negative action under <br />such provision, the same percentage of such class or classes of Members shall be required to amend or <br />revoke such provision. Also, if the consent or approval of any governmental authority, Mortgagee or other <br />person, firm, agency or entity is required under this Declaration with respect to any amendment or <br />revocation of any provision of this Declaration, no such amendment or revocation shall become effective <br />unless such consent or approval is obtained. Any amendment or revocation subsequent to the close of <br />such first sale shall be evidenced by an instrument certified by the Secretary or other duly authorized officer <br />of the Association and shall make appropriate reference to this Declaration and its amendments and shall <br />be acknowledged and recorded in the Official Records. <br />14.4 Additional Approvals. <br />14.4.1 Governmental Approvals. If the consent or approval of Governmental Entities <br />or Federal Agencies is required with respect to any amendment or revocation of any provision of this <br />Declaration, no such amendment or revocation shall become effective unless such consent or approval is <br />obtained pursuant to the requirements of the Governmental Entities or Federal Agencies. All amendments <br />or revocations of this Declaration shall comply with the provisions of California Business and Professions <br />Code Section 11018.7 to the extent such section is applicable. <br />14.4.2 Amendment of Certain Provisions. If any provision of this Declaration <br />requires a greater or lesser percentage of the voting rights of any class of Members in order to take <br />affirmative or negative action under such provision, the same percentage of such class or classes of <br />Members shall be required to amend or revoke such provision. Notwithstanding anything to the contrary <br />contained in this Declaration, Sections 1.50 (Maintenance Obligations), 7.2.8 (Compliance with <br />Maintenance Obligations), 7.3.4 (Compliance with Maintenance Obligations) and 16.5 (Disputes Involving <br />Declarant) and this Section of this Declaration shall not be amended, nor shall other provisions be adopted <br />that purport to supersede them without the prior written approval of Declarant. <br />14.4.3 Declarant’s Consent. So long as Declarant owns any portion of the Property <br />or Annexable Property, this Declaration may not be amended to do any of the following without the prior <br />written approval of Declarant: (a) diminish or eliminate any rights specifically granted or reserved to <br />Declarant; or (b) modify or eliminate the easements reserved to Declarant. <br />14.5 Reliance on Amendments. Any amendments made in accordance with the terms of this <br />Declaration shall be presumed valid by anyone relying on them in good faith. <br />14.6 Conflict with Other Provisions of this Declaration. To the extent any provisions of this <br />Article conflict with the provisions of Article 13 (Rights of Mortgagees) or any other provision of this <br />Declaration except those contained in this Section, the provisions of Article 13 (Rights of Mortgagees) shall <br />control. <br />14.7 Notice to Eligible Holders. Eligible Holders shall be entitled to timely written notice of <br />any amendments to this Declaration, the Bylaws or the Articles. <br />316
