<br />Consulting Services Agreement between August 1, 2020 <br />City of San Leandro and Local Artists Berkeley Page 1 of 19 <br />CONSULTING SERVICES AGREEMENT BETWEEN <br />THE CITY OF SAN LEANDRO AND <br />LOCAL ARTISTS BERKELEY <br />FOR <br />TEMPORARY LOAN OF ARTWORK FOR DISPLAY ON CITY-OWNED PROPERTY <br /> <br /> THIS AGREEMENT for services related to the curation, coordination, and installation for temporary <br />display of Artwork on City-owned property in San Leandro is made by and between the City of San Leandro <br />(“City”) and Local Artists Berkeley (“Consultant” or “LAB”) (together sometimes referred to as the “Parties”) <br />as of August 1, 2020 (the “Effective Date”). <br /> <br />LAB is a California non-profit organization which seeks to provide public access to artwork through out-of- <br />doors exhibition and display for educational, informational, and cultural purposes. LAB seeks to encourage <br />the artistic and cultural interests of the community by providing a showcase for art created by local and <br />greater Bay Area artists. In furtherance of these goals, LAB acts as a consultant and project manager for <br />the selection and installation of artwork for temporary displays in outdoor locations on behalf of public and <br />private entities. <br /> <br />City desires to engage LAB for such consulting and project manager services, and LAB agrees to provide <br />services to City. <br /> <br />In consideration of the mutual terms, conditions and covenants herein set forth, the Parties agree as <br />follows: <br /> <br />Section 1. SERVICES. Subject to the terms and conditions set forth in this Agreement, LAB shall act <br />as a liaison between City and owners of artwork (“Artwork Owners”) and artists who created the artwork <br />(“Artists”), for loan of artworks to be temporarily displayed on City’s property, or private property pursuant to <br />an agreement with the City, including negotiation and entering into appropriate contracts with the Artwork <br />Owners and Artists on City’s behalf; providing consultation and advice to all parties; providing insurance <br />coverage, and assistance with delivery, installation, maintenance and removal of the artwork; publicity; and <br />brokering sale of the artwork to City if desired by City, as set forth below (the “Services”). <br /> <br />1.1 Project Proposals. For each installation City desires to accomplish under this <br />Agreement, City shall submit to LAB a request for Services (“Proposal”), which sets forth in <br />detail the proposed location (“Location”), type of art, timing and duration (“Delivery Date <br />and Removal Date”), and project budget (“Budget”). City and LAB shall then negotiate <br />changes or additions thereto, and upon arriving at a mutually agreeable terms, shall sign a <br />final Scope of Work with specifications for that project (“SOW”). Each signed SOW shall be <br />attached as successive Schedules to Exhibit A hereto. In the event of a conflict or <br />inconsistency between the terms of this Agreement and the Scope of Work (SOW), the <br />Agreement will prevail. <br /> <br />1.2 Minimum Budget. The minimum Budget for any Proposal shall be $15,000 for the Initial <br />Loan Term.
