The Subrecipient is solely <br />responsible for all activities supported by the grant. Nothing in this Agreement <br />creates a partnership, agency, joint venture, employment, or any other type of <br />relationship between the parties. The Subrecipient shall not represent itself as an <br />agent of the California State Library for any purpose, and has no authority to <br />bind the State Library in any manner whatsoever. <br /> <br />4. Amendment: No amendment or variation of the terms of this Agreement shall <br />be valid unless made in writing, signed by the parties, and approved as required. <br />No oral understanding or agreement not incorporated into this Agreement is <br />binding on any of the parties. This Agreement may be amended, modified or <br />augmented by mutual consent of the parties, subject to the requirements and <br />restrictions of this paragraph. <br /> <br />5. Applicable law: The laws of the State of California shall govern all proceedings <br />concerning the validity and operation of this Agreement and the performance <br />of the obligations imposed upon the parties hereunder. The parties hereby <br />waive any right to any other venue. The place where the Agreement is entered <br />into and place where the obligation is incurred is Sacramento County, California. <br /> <br />6. Assignment, Successors, and Assigns: The Subrecipient may not assign this <br />Agreement or delegate its performance to any third-party person or entity, either <br />in whole or in part, without the California State Library’s prior written consent. The <br />provisions of this Agreement shall be binding upon and inure to the benefit of the <br />California State Library, the Subrecipient, and their respective successors and <br />assigns. <br /> <br />7. Audit and Records Access: The Subrecipient agrees that the California State <br />Library, the Department of General Services, the State Auditor, or their <br />designated representatives shall have the right to review, audit, inspect and <br />copy any records and supporting documentation pertaining to the performance <br />of this Agreement. The Subrecipient agrees to maintain such records for possible <br />audit for a minimum of five (5) years after the final payment, or grant term end <br />date, whichever is later, unless a longer period of records retention is stipulated, <br />or until completion of any action and resolution of all issues which may arise as a <br />result of any litigation, dispute, or audit, whichever is later. The Subrecipient <br />agrees to allow the auditor(s) access to such records during normal business <br />hours and to allow interviews of any employees who might reasonably have <br />information related to such records.
