Personal Jurisdiction: The Subrecipient consents to personal jurisdiction in the <br />State of California for all proceedings concerning the validity and operation of <br />this Agreement and the performance of the obligations imposed upon the <br />parties. Native American Tribal Subrecipient s expressly waive tribal sovereign <br />immunity as a defense to any and all proceedings concerning the validity and <br />operation of this Agreement and the performance of the obligations imposed <br />upon the parties. <br /> <br />37. Personnel Costs: If there are eligible costs pursuant to Exhibit D, Eligible and <br />Ineligible Costs, any personnel expenditures to be reimbursed with grant funds <br />must be computed based on actual time spent on grant-related activities and <br />on the actual salary or equivalent hourly wage the employee is paid for their <br />regular job duties, including a proportionate share of any benefits to which the <br />employee is entitled, unless otherwise specified in Exhibit D. <br /> <br />38. Pledge: This Agreement shall not be interpreted to create any pledge or any <br />commitment by the State Library to make any other or further grants or <br />contributions to Subrecipient, or any other person or entity in connection with the <br />Project. It is mutually agreed that Subrecipient is responsible for furnishing funds <br />beyond the award that may be necessary to complete outcomes or <br />deliverables. <br /> <br />39. Privacy Protection: Both parties agree to protect the confidentiality of any non- <br />public, personal information that may be contained in materials received or <br />produced in connection with this Agreement, as required by Civil Code, section <br />1798, et. seq. <br /> <br />40. Prohibited Use: The expenditure under this program shall not be used to supplant <br />Subrecipient efforts in other grant programs provided by the California State <br />Library and shall not be used to supplant subrecipient effort. <br /> <br />41. Provisions: This agreement is entered into under provisions of the Library Services <br />and Technology Act, Public Law 104-208 on September 30, 1996; and <br />Congressional Record – House, H11644-H11728 on September 28, 1996, H12266- <br />H12267 on October 3, 1996; and 2 CFR 200, Uniform Administrative Requirements, <br />Cost Principles, and Audit Requirements for Federal Awards, December 26, 2013. <br />Congress enacted the Museum and Library Services Act of 2010 (Pub.
