IN THE CITY COUNCIL OF THE CITY OF SAN LEANDRO RESOLUTION NO.2022-080 RESOLUTION OF THE CITY OF SAN LEANDRO CITY COUNCIL TO APPROVE AMENDMENT NO. 1 TO A LEGAL SERVICES AGREEMENT WITH BERTRAND, FOX, ELLIOT, OSMAN & WENZEL FOR LEGAL REPRESENTATION ASSOCIATED WITH TORT LIABILITY CLAIMS AND LITIGATION, INCREASING THE CONTRACT BY $500,000 AND EXTEND THE TERM BY ONE YEAR TO JUNE 30, 2024 WHEREAS, the City, in accordance with its purchasing provisions, identified Bertrand, Fox, Elliot, Osman & Wenzel to provide legal representation associated with tort liability claims and litigation; and WHEREAS, the City wishes to amend the Legal Services Agreement with Bertrand, Fox, Elliot, Osman & Wenzel to increase the not to exceed amount of the Agreement; and WHEREAS, the City Council is familiar with the terms of the proposed amendment to the Agreement (Amendment No. 1); and WHEREAS, the City Manager recommends approval of Amendment No. 1. NOW, THEREFORE, the City Council of the City of San Leandro does RESOLVE as follows: 1. That said Amendment No. 1 will increase the current contract by $500,000 with a new, not to exceed amount of the contract totaling $1,000,000 and extend the term to June 30, 2024 that dates back to 2014 and expires June 30, 2023 is hereby approved; and 2. That the terms of Amendment No. 1 will be memorialized in writing by the City Manager, subject to the approval of the City Attorney as to form; and 3. That the City Manager is authorized to execute Amendment No. 1; and 4. That the Self -Insurance Fund operating budget for Legal Services —account 689-19- 004-5110in Fiscal Year 2021-2022 and 2022-2023 is sufficient to cover the increased contractual obligation; and 5. That an original executed Amendment No. 1 shall be provided to the City Clerk and be attached to this resolution.
