Employment of Major Shareholder of Seller Buyer shall retain the services of Seller or a corporation to be formed by Seller, from the Closing Date of this Agreement until October 31, 1997, subject to the terms set forth in the Personal Services Contract attached hereto as Exhibit C. Elbe shall make himself available on a full-time basis to perform services comparable in scope and nature to those that Elbe has previously performed for Buyer. The Personal Services Contract at Exhibit C shall be executed on June 30, 1997. 17. Rental Fees In consideration for Seller's total liquidation of all pro shop inventory, the Corporation shall retain all driving range fees, cart rental fees, gross receipts of retail store merchandise and golf lesson fees from July 1, 1997 to August 15, 1997. Buyer shall waive any rental fees or concession fees to which Buyer may be entitled under the Tony Lema Golf Course Pro Shop Lease executed on November 25, 1987. 18. Quitclaim Deed Seller shall execute and record a quitclaim deed relinquishing all right, title, and interest to the property at 13800 Neptune Drive and shall provide such deed to Buyer by the Closing Date. 19. Broker's Fees Each Party represents that no broker or finder or other person has any valid claim for brokerage commissions or finders' fees in connection with this Agreement or the transactions contemplated, except for William Avery and Associates. Each Party shall indemnify the other against any claim or loss suffered as a result of any broker's commission or finder's fee payable, or alleged to be payable, on the basis of any agreement made by or on behalf of the indemnifying Party. 20.
