EXHIBIT C PERSONAL SERVICES AGREEMENT This agreement is entered into on June 30, 1997, between the CITY OF SAN LEANDRO, Owner, and STEVE ELBE or a Corporation to be named and formed by Steve Elbe, as Contractor. 1. Services. Owner owns a municipal golf course at 13800 Neptune Drive. Owner agrees to engage Contractor to manage the Tony Lema Golf Course, the Marina Golf Course and the Driving Range, provide golf instruction, promotion of golf organizations and clubs, operate and manage a golf pro shop, supervise and manage the operation of golf facilities, collect green fees, oversee tournaments and matches sponsored by the City of San Leandro. Contractor agrees to provide such services. 2. Term. Engagement of Contractor shall commence on August 15, 1997, and the contract shall remain in full force until October 31, 1997. Owner shall have the option to renew this contract for a period of no longer than sixty days. Owner shall provide Contractor with 10 days notice of intent to renew. Contractor shall have seventy-two (72) hours to vacate the premises after the termination of this Agreement. 3. Compensation. As compensation for the golf services performed under this agreement, Owner shall pay Contractor $10,000 per month, payable on the last day of each calendar month, except the monthly fee for August, 1997, shall be $5,333.26 payable on August 29, 1997. 4. Relationship of Parties. The parties intend that Contractor, in performing the specified services, shall act as an independent contractor and shall have control of Contractor's work and the manner in which it is performed. Contractor is not to be considered an agent or employee of Owner and is not entitled to participate in any pension plans, bonus, stock, or similar benefits that Owner provides for its employees. Contractor agrees to retain all the temporary employees necessary to provide the full range of services described in Section 1. Contractor shall retain sole discretion and control in the hiring, supervision, and compensation of such employees. EXHIBIT C - PERSONAL SERVICES AGREEMENT PAGE 1 REV 6/27/97
