Consulting Services Agreement between City of San Leandro and Last revised 05/24/2022 Flock Group Inc. for Community Safety Cameras with ALPRs Page 1 of 15 CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SAN LEANDRO AND FLOCK GROUP INC. FOR COMMUNITY SAFETY CAMERAS WITH AUTOMATED LICENSE PLATE READERS THIS AGREEMENT for consulting services is made by and between the City of San Leandro (“City”) and Flock Group Inc. (“Consultant”) (together sometimes referred to as the “Parties”) as of May 24, 2022 (the “Effective Date”). RECITALS WHEREAS, Consultant offers a software and hardware solution for automatic license plate detection through Consultant’s technology platform (the “Flock Service”), and upon detection, the Flock Services are capable of capturing audio, image, and recordings data of suspected veh icles (“Footage”) and can provide notifications to City upon the instructions of Non-Agency End User (“Notifications”); WHEREAS, City desires access to the Flock Service on existing cameras, provided by City, or Consultant provided Hardware (as defined below) in order to create, view, search and archive Footage and receive Notifications, including those from Non-Agency users of the Flock Service (where there is an investigative or bona fide lawful purpose) such as schools, neighborhood homeowner’s associations, businesses, and individual users; WHEREAS, Consultant deletes all Footage on a rolling thirty (30) day basis, City is responsible for extracting, downloading and archiving Footage from the Flock System on its own storage devices for auditing and for prosecutorial/administrative purposes; and WHEREAS, Consultant desires to provide City the Flock Service and any access thereto, subject to the terms and conditions of this Agreement, solely for the awareness, prevention, and prosecution of crime, bona fide investigations by police departments, and archiving for evidence gathering . NOW, THEREFORE, the parties agree as follows and further agree to incorporate the Recitals into this Agreement. Section 1. SERVICES. Subject to the terms and conditions set forth in this Agreement, Consultant shall provide to City the services described in the Scope of Work attached as Exhibit A, incorporated by reference herein, at the time and place and in the manner specified therein. In the event of a conflict in or inconsistency between the terms of this Agreement and Exhibit A, the Agreement shall prevail. 1.1 Term of Services. The term of this Agreement shall begin on the Effective Date and shall end on June 30, 2024, the date of completion specified in Exhibit A, and Consultant shall complete the work described in Exhibit A on or before that date, unless the term of the Agreement is otherwise terminated or extended, as provided for in Section 8.
