hereof, withdrawn therefrom. <br />9. Governing Body of the Agency. <br />(a) The business of the Agency shall be conducted by a Board of <br />Directors consisting of seven (7) persons. All voting power of the Authority shall <br />reside in the Board of Directors. The Board shall be comprised of the Mayor and <br />City Council of the City of San Leandro and the terms of office shall be co -extensive <br />with the term of Council Member and Mayor, as the case may be. <br />(b) A Director may be reimbursed for expenses incurred by such <br />Director in the conduct of the Agency's business subject to any applicable policy of <br />the Agency. <br />10. Principal Office. The principal office of the Agency shall be <br />established by the Board. The Board is hereby granted full power and authority to <br />change said principal office from one location to another in the boundaries of the <br />Agency. Any change shall be noted by the secretary under this section, but shall not <br />be considered an amendment to this Agreement. <br />11. Meetings. The Board shall meet at the Agency's principal office or at <br />such other place as may be designated by the Board. The time and place of regular <br />meetings of the Board shall be determined by resolution adopted by the Board; a <br />copy of such resolution shall be furnished to each Party hereto.
