4. The Agency has concluded that the Developer has the necessary expertise, skill and ability to carry out the commitments herein contained and that this Agreement is in the best interests and will materially contribute to the Redevelopment Plan. AGREED: PART ONE: PROJECT Article One: DEVELOPER'S PRE -DISPOSITION REQUIREMENTS 1.01 Conditions Precedent. As a condition precedent to the Agency's obligation to sell and convey to Developer the portions of the Property acquired by the Agency and Developer's commencement of construction, the conditions set forth in this Article One must first be met by the date as set forth in this Part relevant for such condition, unless such time limit is extended by the Agency or at the discretion of its Executive Director. 1.02 ADnroval of Development Plan. Prior to the execution of this Agreement, the Developer duly submitted to the Agency a Preliminary Development Plan for the development of the Property. By execution of this Agreement the Agency hereby approves said Plan. The Preliminary Development Plan calls for the development of new and used automobile dealerships at 1066-1072 Marina Boulevard and 1152 Marina Boulevard, and the construction of certain improvements to the Property in connection therewith (referred to herein as the "Improvements"). 1.03 Final Development Plan. Developer shall submit to the Agency a Final Development Plan for the Improvements. The Final Development Plan shall be substantially consistent with the Preliminary Development Plan and the Redevelopment Plan and shall set forth in drawings and models and/or elevations, size and location of buildings, the number and location of parking spaces, the specific treatment and location of all landscaping amenities, the location of all pedestrian and automobile ingress and egress points, the Disposition and Development Page 2 of 39 Agreement (Automall) 10/2/96
