-3- 4. CITY's Director of Engineering and Transportation and DISTRICT's Director of Public Works shall be responsible for the administration of this Agreement for the respective parties. 5. CITY agrees to defend, indemnify, and hold harmless the DISTRICT, its officers, employees and agents, from any and all acts, claims, omissions, liabilities and losses by whomever asserted arising out of acts or omissions of CITY in the performance of this Agreement except those arising by reason of the sole negligence of the DISTRICT, its officers, employees or agents. 6. DISTRICT agrees to defend, indemnify, and hold harmless CITY, its officers, employees and agents, from any and all acts, claims, omissions, liabilities and losses by whomever asserted arising out of acts or omissions of the DISTRICT in the performance of this Agreement except those arising by reason of the sole negligence of CITY, its officers, employees or agents. DISTRICT and CITY are self -insured as to any requirements under this Agreement. No policies or bonds are required of either party as to any provisions of this Agreement.
