interest taxes, sewer taxes, excises, license and permit fees, assessments, water rates and <br />charges, and other governmental charges, general and special, ordinary and extraordinary, <br />unforeseen as well as foreseen, of any kind and nature whatsoever, including, but not limited <br />to, assessments for public improvements or benefits, which prior to or during the Term are <br />assessed or imposed upon or become due and payable and a lien upon (i) the Premises, the <br />Improvements, the Facility or any personal property, equipment or other facility used in the <br />operation thereof; or (ii) the rent or income received by Tenant from subtenants, licensees or <br />concessionaires; or (iii) any use or occupancy of the Facility; or (iv) this transaction or any <br />document to which Tenant is a party creating or transferring an estate or interest in the <br />Premises (all of which taxes, assessments and other governmental charges hereinafter are <br />referred to as "Impositions"); provided, however, that if, by law, any such Imposition is <br />payable, or may at the option of the taxpayer be paid in, installments, Tenant may pay the <br />same, together with any accrued interest on the unpaid balance of such Imposition, in <br />installments as the same respectively become due and payable. In accordance with Section <br />107.6 of the California Revenue and Taxation Code, Tenant acknowledges that it has been <br />informed by Landlord, and is aware, that the leasehold interest created by this Lease will be <br />subject to property taxation and that Tenant shall be subject to the payment of any and all <br />property taxes or Impositions levied on such leasehold interest. <br />If at any time during the Term the basis and/or bases of real estate taxation prevailing <br />at the commencement of the Term shall be altered so that in addition to, or in lieu of, or as a <br />substitute for the whole or any part of the Impositions now levied, assessed or imposed, there <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT PAGE 25 <br />2574001\313983.8 <br />
