management and policies of an entity whether through ownership of an interest therein, <br />through ownership of voting securities, by contract or otherwise. <br />Section 5.4 Parking <br />On the Premises and adjacent to the Premises are lands devoted to parking. The total <br />parking layout for these lands is set forth in Exhibit F attached hereto. There are three (3) <br />separate categories of parking: (i) primary parking for the exclusive use of Tenant, its guests <br />and invitees; (ii) overflow parking for Tenant's non-exclusive use; and (iii) marina and <br />visitor parking for members of the public using the Improvements who are not guests or <br />invitees of Tenant and for use of the marina by berthers and the public, which marina and <br />visitor parking shall not be used by Tenant or the guests or invitees of Tenant. <br />With respect to primary parking facilities, Tenant shall include within its <br />Improvements and the costs thereof, all design and construction of such parking. Tenant <br />shall clean, restripe, maintain and operate such parking. Tenant may charge its guests and <br />invitees for the use of such primary parking and such charges shall be considered part of <br />Gross Revenues. Landlord shall be responsible for periodic repairs such as slurry sealing, <br />crack sealing, resurfacing and overlay. Overflow parking and marina parking shall be <br />operated, maintained and repaired exclusively by Landlord.
