damage or destruction. If Tenant does not notify Landlord of Tenant's election to repair and <br />restore the damage within the one hundred eighty (180)-day period set forth above, Tenant <br />shall be deemed to have elected to terminate this Lease. In either of the foregoing events, <br />the Lease shall terminate unless, within thirty (30) days after Landlord's receipt of Tenant's <br />termination notice or the expiration of such one hundred eighty (180)-day period, as the case <br />may be, Landlord notifies Tenant of Landlord's election to contribute the funds in excess of <br />One Million Dollars ($1,000,000) necessary to restore the damage. If Landlord so elects to <br />contribute such excess funds and thereafter makes such funds available to Tenant for the <br />restoration, the Lease shall remain in full force and effect and Tenant shall fully repair and <br />restore the Premises and the Improvements to the condition existing immediately prior to <br />such casualty or occurrence (subject to changes necessary to comply with then existing <br />Applicable Laws and any changes in design approved by Landlord, which approval shall not <br />be unreasonably withheld to the extent required pursuant to Section 10.1). In the event <br />Tenant elects to repair or restore as provided under Section 11.2 but fails to comply with <br />one or more of the conditions set forth in such section and such failure continues uncured <br />(or, if the nature of the condition is such that it reasonably requires more than thirty (30) <br />days to satisfy said condition, Tenant shall fail to commence and thereafter diligently proceed <br />to complete the satisfaction thereof) for a period of thirty (30) days following written notice <br />to Tenant, this Lease shall terminate upon Tenant's receipt of written notice of termination <br />from Landlord given no later than sixty (60) days following Tenant's receipt of written notice <br />of its failure to comply with one or more of said conditions.
