ARTICLE XXII <br />MISCELLANEOUS <br />Section 22.1 Construction <br />In all cases the language in all parts of this Lease shall be construed simply, <br />according to its fair meaning and not strictly for or against Landlord or Tenant. The Parties <br />jointly prepared the transaction documents. <br />Section 22.2 Captions <br />With the exception of the defined terms set forth in the captions of Article I (which <br />defined terms are a part of this Lease), the captions of the articles, sections, and subsections <br />herein are inserted solely for convenience, and under no circumstances are they or any of <br />them to be treated or construed as any part of this Lease. <br />Section 22.3 Binding Effect <br />Subject to the provisions hereof, including, without limitation, the provisions of <br />Article XXIII, this Lease shall be binding upon and shall inure to the benefit of the parties <br />hereto and their respective legal representatives, successors, and permitted assigns; and <br />wherever a reference in this Lease is made to either of the parties hereto, such reference <br />shall be deemed to include, wherever applicable, also a reference to the legal representatives, <br />successors, and permitted assigns of such party, as if in every case so expressed. <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT PAGE 73 <br />2574001\313983.8 <br />
