This Lease may be amended, altered, or changed only by an instrument in writing <br />signed by both parties. <br />Section 22.9 No Unreasonable Withholding, Conditioning, or Delaying of Consent <br />Whenever one party must obtain the consent and/or approval of the other party under <br />this Lease, such consent and/or approval shall not be unreasonably withheld, conditioned, or <br />delayed, unless another standard for such consent or approval is specified. <br />Section 22.10 No Joint Venture <br />The parties intend by this Lease to establish the relationship of Landlord and Tenant <br />only, and do not intend to create a partnership, joint venture, joint enterprise, or any <br />business relationship other than that of Landlord and Tenant. <br />Section 22.11 Force Majeure <br />If either party shall be delayed or prevented from the performance of any act required <br />by this Lease by reason of acts of Force Majeure, performance of such act shall be excused <br />for the period of the delay, and the period for the performance of any such act shall be <br />extended for a period equivalent to the period of such delay, provided however, that nothing <br />in this Section 22.11 shall excuse Tenant from the prompt payment of any Rent or excuse <br />Landlord or Tenant from the payment of any other amount required of Landlord or Tenant, <br />except as may be expressly provided elsewhere in this Lease. <br />Section 22.12 Governing Law <br />This Lease shall be construed and enforced in accordance with the laws of the State of <br />California. <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT PAGE 75 <br />2574001\313983.8 <br />
