to Landlord with a Qualified Operator to manage the Facility, it being acknowledged herein that continued management of the Facility by a Qualified Operator is an affirmative obligation of Tenant hereunder; and (c) have a good reputation and standing in the business community. A "Qualified Operator" is an experienced and recognized operator of hotel and conference facilities of the type, size and quality of the Facility, with the financial ability to perform its obligations under this Lease, that would not, in operating the Facility, be in breach of the provisions of Section 5.3, and that enjoys a reputation for integrity. Landlord acknowledges that Network Conference Company, Inc., as owned and operated as of the date of this Lease, is a Qualified Operator. Landlord shall grant or deny its approval of, or request additional information and/or documentation with respect to, any proposed transfer, hypothecation, assignment or sublease within thirty (30) days following Landlord's receipt of notification from Tenant regarding the proposed transfer. Following a request from Landlord for additional information and/or documentation as provided herein, Landlord shall have thirty (30) days from Landlord's receipt of such additional information and/or documentation in which to grant or deny its approval of, or Landlord shall have twenty (20) days from Landlord's receipt of such additional information and/or documentation in which to request further information and/or documentation reasonably required by Landlord with respect to the proposed transfer and/or transferee.
