diligently proceeded to obtain said possession, and, once said possession is obtained, <br />commenced and diligently proceeded to cure such default in the case of a default which can <br />only be cured when the Leasehold Mortgagee has obtained said possession; or <br />(iii) instituted foreclosure proceedings within said sixty (60) day period, <br />and, thereafter, completed such foreclosure proceedings or otherwise acquired Tenant's <br />interest under this Lease with reasonable and continuous diligence in the case of a default <br />which cannot be cured in the manners set forth in (i) or (ii) above. <br />With respect to (ii) or (iii) above, no Leasehold Mortgagee shall be required to <br />continue such possession or continue such foreclosure proceedings if the default which <br />prompted the service of such a notice has been cured or, if for any other reason such <br />Leasehold Mortgagee elects to discontinue the same. If the Leasehold Mortgagee is <br />prohibited from taking any action described in (ii) or (iii) above by order of any court having <br />jurisdiction over any bankruptcy or similar proceedings involving Tenant, the Leasehold <br />Mortgagee's period for taking any such action shall be extended by the period of such stay. <br />(c) If this Lease is terminated by Landlord on account of any Event of Default or <br />is terminated as a result of the rejection of this Lease in a bankruptcy proceeding involving <br />Tenant and the Leasehold Mortgagee shall have arranged to the reasonable satisfaction of <br />Landlord to cure all then -existing defaults of Tenant under this Lease which are reasonably <br />within the Leasehold Mortgagee's ability to cure, then Landlord, within thirty (30) days after <br />receiving a written request therefor which request shall be given within thirty (30) days after <br />such termination, and upon payment to it of all expenses (including reasonable attorneys' fees <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT PAGE 84 <br />2574001\313983.8 <br />
